Welcome to Filterly. These Terms of Service ("Terms") govern your use of the Filterly service, website, and applications (collectively, the "Service") operated by Filterly, Inc. ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Acceptance of Terms

By creating an account or using Filterly, you confirm that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Filterly provides an intelligent HVAC filter reminder service that helps users track and manage their air filter replacement schedules. Our service includes:

Filter tracking and reminder notifications via email and/or SMS
An adaptive algorithm that learns your usage patterns
Filter management dashboard
Integration with HVAC service providers through our Plenum platform (where applicable)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We use passwordless authentication (magic links) to enhance security, but you must protect access to your registered email address.

You agree to notify us immediately of any unauthorized access to or use of your account.

4. Subscriptions and Billing

Free and Paid Plans

Filterly offers both free and paid subscription plans. The features available to you depend on your subscription level. Free plans may have limitations on the number of filters or notification methods.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method for the applicable fees.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial subscription periods.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply to subsequent billing periods after the notice.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Use automated systems to access the Service without permission
Transmit viruses, malware, or other harmful code
Impersonate any person or entity
Share your account credentials with others
Use the Service to send spam or unsolicited communications

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Filterly, Inc. and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a license to use, store, and process your data solely to provide and improve the Service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that our filter change recommendations will be optimal for your specific circumstances. Factors such as air quality, occupancy, pets, and HVAC system efficiency may affect actual filter replacement needs. Users should exercise their own judgment and consult HVAC professionals when needed.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILTERLY, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Filterly, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes taking effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Denver, Colorado, and you consent to the personal jurisdiction of such courts.
